1. Scope of These Terms and Conditions

1.1 Scope of Application

  1. This End-User Licence Agreement ("Agreement") applies when you ("Customer") access or use Steplore, a product provided by Serapion GmbH, Munich, Germany ("Serapion"). Steplore includes:

    • Steplore Chrome Extension
    • Steplore Web Application
    • AI-powered documentation and workflow generation
    • Step recording, screenshot capture, and video generation
    • Export and sharing tools
    • Support services and updates
    • Any data generated by Steplore ("Application Data")
  2. This Agreement applies exclusively. Conflicting or deviating customer terms do not apply unless accepted in writing.

  3. This Agreement applies only to Customers who are entrepreneurs (Section 14 German Civil Code), legal entities under public law, or special funds under public law.


2. Subject Matter of the Agreement

2.1 Product Description

The Agreement covers:

  • Steplore software in its most recent version
  • Support and update services during the Agreement term

2.2 No Additional Warranties

Only features described in official documentation apply. Marketing descriptions do not create binding obligations.


3. Provision of the Software and Infrastructure

3.1 Software Provision

  1. Steplore is provided as a cloud-based SaaS application.
  2. Storage space is provided for Customer-generated Application Data.

3.2 Backups

Serapion performs monthly backups. Customers remain responsible for their own data retention and exporting.

3.3 System Requirements

Serapion is not responsible for Customer hardware, unsupported browsers, or internet connectivity.

3.4 Force Majeure

If performance is delayed due to force majeure, obligations are suspended for the duration of the event plus recovery time.


4. Technical Availability

4.1 Availability

Annual average availability of Steplore is 95%.

4.2 Included Downtime

Availability includes:

  • Failures due to third-party infrastructure
  • Minor impairments
  • Scheduled maintenance

4.3 Maintenance Window

Maintenance may occur any working day between 08:00 - 18:00 CET.


5. Free Trial, Contract Term, and Termination

5.1 Free Trial

Customers may use Steplore free as long its listed as free.

5.2 Contract Term

Contracts renew automatically unless terminated.

5.3 Termination

Termination may be initiated via the account admin interface or by written notice. After termination, Customer must stop using Steplore.

5.4 Extraordinary Termination

Either party may terminate for good cause.


6. Further Development and Updates

Serapion may improve or modify Steplore at any time. Customers are not entitled to specific enhancements or future features.


7. Customer Obligations

Customers must:

  • Prevent unauthorized access to Steplore
  • Maintain required technical environments
  • Ensure authorized users are trained
  • Ensure third-party intellectual property rights are respected
  • Inform employees of relevant data processing
  • Use malware-free files
  • Transmit data securely where applicable
  • Ensure authorized users comply with this Agreement

Customer acknowledges that Steplore may record workflow actions, screenshots, and metadata necessary for generating documentation.


8. Customer Data Backups

Customers are responsible for exporting and backing up their own content. Serapion is not liable for data loss caused by missing Customer backups.


9. Rights of Use

9.1 Ownership

Serapion retains all intellectual property rights to Steplore.

9.2 License Grant

Customer receives a limited, non-exclusive, non-transferable, non-sublicensable license to use Steplore in accordance with this Agreement.

9.3 Restrictions

Customer may not:

  • Transfer access to third parties
  • Reverse engineer or modify Steplore
  • Circumvent usage limits or technical safeguards

10. Fair Usage Policy for Token and AI Usage

10.1 Fair Usage Principle

Steplore uses computational resources and third-party AI models that rely on token-based usage. All plans are subject to a fair usage principle, even where no explicit token limit is displayed.

10.2 Excessive Usage

If Serapion determines, at its reasonable discretion, that a Customer is using an excessive amount of tokens or AI resources that significantly exceeds normal or intended usage patterns, Serapion reserves the right to:

  • Contact the Customer to discuss usage patterns
  • Require the Customer to upgrade to an enterprise or custom plan
  • Introduce usage limits or throttling
  • Temporarily suspend AI-related features until an agreement is reached

10.3 Enterprise Classification

Excessive or systematic high-volume usage may be considered indicative of enterprise-level use. In such cases, Serapion has the right to classify the Customer as an enterprise customer and propose appropriate commercial terms.

10.4 No Circumvention

Customers may not attempt to circumvent usage limits, monitoring mechanisms, or fair usage safeguards.


11. Support and Update Services

11.1 Included Support

Support includes:

  • Handling software defects
  • Fixing malfunctions
  • Addressing AI processing issues attributable to Serapion

11.2 Excluded Support

Support does not include:

  • User training
  • Issues caused by third-party software
  • Problems caused by Customer hardware or configuration
  • Assistance for misuse or unauthorized changes

11.3 Support Hours

Monday–Friday, 09:00–17:00 CET, excluding public holidays in Germany, Bosnia and Herzegovina, and Croatia.


12. AI-Generated Content Disclaimer

Steplore uses AI to generate:

  • Step titles
  • Step descriptions
  • Document summaries
  • Video scripts and narration

Customer acknowledges:

  1. AI output may contain errors or inaccuracies.
  2. Customer must verify and correct AI-generated content.
  3. Serapion is not liable for decisions based on AI output.
  4. AI models may rely on third-party services.

13. Exported Materials and Usage Restrictions

13.1 Private Use Only

All materials exported from Steplore, including but not limited to guides, screenshots, videos, PDFs, and other documentation ("Exported Materials"), are licensed for private, internal, or personal use only.

13.2 Prohibited Commercial Use

Exported Materials may not be:

  • Sold or resold
  • Licensed or sublicensed
  • Used as part of a commercial product or service
  • Distributed to third parties for commercial purposes
  • Used for training, consulting, or resale offerings

13.3 No Redistribution

Exported Materials may not be publicly shared, published, or redistributed outside the Customer’s private or internal environment without prior written consent from Serapion.

13.4 Ownership

Serapion retains all intellectual property rights in and to the Exported Materials, including AI-generated components.


14. Fees and Payment

14.1 Free Plan

A free plan may be offered with limited functionality.

14.2 Premium Features

Premium plans may include:

  • All Free Plan features included
  • Unlimited guides
  • Watermark-free exports (PDF and video)
  • Advanced editing suite

14.3 Enterprise Features

Premium plans may include:

  • Shared team workspace
  • Analytics dashboard
  • Team collaboration
  • SSO & security controls
  • Zendesk, Intercom integrations
  • Dedicated account management
  • And more

14.3 Billing

Billing is performed directly by Serapion unless otherwise specified.


15. Liability

  1. Both parties are liable for intentional or grossly negligent damages.
  2. Liability for simple negligence is limited to EUR 10,000 per incident.
  3. Liability for lost profits is excluded.
  4. Serapion is not liable for data loss if Customer fails to perform adequate backups.
  5. Statutory liability remains unaffected.

16. Third-Party Rights

Serapion will indemnify Customer against third-party claims resulting from authorized use of Steplore. Customer must coordinate with Serapion before settling such claims.


17. Confidentiality

Both parties must keep all confidential information secret and may disclose it only when legally required.


18. Data Protection

Serapion complies with applicable data protection laws.

Serapion may collect:

  • Feature usage data
  • Installation environment information
  • Frontend error logs

Data is used solely to improve Steplore and is not shared with third parties.

If Customer processes personal data using Steplore, Customer is responsible for obtaining all legally required consents. A Data Processing Agreement (DPA) may be required.


19. Export Control

Customer must comply with all applicable export and import regulations.


20. Use of Customer Name as Reference

Serapion may reference Customer’s name and logo for marketing unless Customer objects via email.


21. Final Provisions

  • Customer may not transfer rights or obligations without written consent from Serapion.
  • Place of performance and jurisdiction is Munich, Germany.
  • German law applies exclusively (CISG excluded).
  • If any provision is invalid, the remainder of the Agreement remains effective.

22. Promotional Offers

Steplore may, from time to time, offer time-limited promotional pricing, discounts, or early access campaigns subject to separate Promotional Terms.

Such promotions may include eligibility requirements, duration limits, or special pricing conditions.

In the event of any inconsistency between these Terms and applicable Promotional Terms, the Promotional Terms shall govern for the duration of the relevant promotion.
